ADGM is an international financial centre located in Abu Dhabi, UAE and one among the leading financial centre in the Middle East. It was established in 2013 and became fully operational in 2015.

ADGM operates across Al Maryah Island and Al Reem Island and it is one of the largest financial districts in the world.

ADGM’s legal framework is based on English common law. English common law covers a wide range of scenarios for the investors. For the companies incorporated in ADGM, all the civil and commercial disputes will be under the jurisdiction of ADGM courts only and they need not refer to the shariah law.

Regulated Entities

Companies who wish to set up financial licenses like Asset management companies, wealth management and capital market participants are categorized as regulated companies in ADGM. Companies who wish to set up these licenses are regulated by the Financial Services Regulatory Authority (FSRA) in ADGM. The license fees vary based on the activity. Once we obtain approval from FSRA, we must proceed to register the company with Registration Authority (RA) in ADGM.

For instance, FSRA fees for “Accepting deposits and providing credit” is USD 70,000. Apart from this there will be annual renewal fee to be paid to renew the FSRA approval. The fee to register a financial services company is USD 15,000. Companies must secure an office/ desk space in ADGM in after obtaining FSRA approval. Companies have the option to secure space in Al Maryah Island and Al Reem Island based on their requirement.

Any activity which is non-financial will fall under the category of “Non-regulated”. Following are some of the activities categorized as non-regulated:

  • Special Purpose Vehicle (SPV)
  • Foundation
  • Tech Start up
  • Operational Holding company
  • Proprietary investment company
  • Single Family office
